Terms & Conditions

These Terms and Conditions govern the relationship between The SEO Consultant Agency (hereafter referred to as “we”, “us”, or “the Agency”) and the client (hereafter referred to as “you” or “the Client”). By engaging the Agency’s services, you agree to these terms in full. If you do not agree with these Terms and Conditions, you should not proceed with our services.

Services Provided

The SEO Consultant Agency will provide SEO (Search Engine Optimisation) services, including but not limited to:

  • Keyword research and optimisation
  • On-page SEO audits and recommendations
  • Off-page SEO strategies
  • Technical SEO analysis
  • Link building and outreach
  • Content strategy and development
  • Local SEO optimisation
  • Reporting and analytics

The scope of services will be outlined in the agreed proposal or contract between the Client and the Agency.

Client Responsibilities

To ensure the success of the SEO strategy, the Client agrees to:

  • Provide access to their website, including login credentials to platforms such as CMS, analytics, and hosting (as required).
  • Supply accurate and complete information in a timely manner.
  • Approve recommendations, changes, or content provided by the Agency.
  • Ensure compliance with applicable laws and regulations relating to the website and business activities.

Fees and Payment

  • All fees for services will be detailed in the proposal or contract provided to the Client.
  • Payment terms will typically be monthly, unless otherwise agreed in writing.
  • Invoices are due upon receipt and must be paid within 14 days of the invoice date.
  • Failure to pay may result in suspension or termination of services. We reserve the right to charge interest on overdue payments at a rate of 10% per month.

Performance Disclaimer

While the Agency uses best practices and strives to improve the search engine rankings and traffic to the Client’s website, we cannot guarantee specific results. SEO is influenced by various factors outside of our control, including search engine algorithm changes, competitor activities, and the current state of the Client’s website.

Intellectual Property

  • Any intellectual property, including reports, audits, or content created by the Agency during the provision of SEO services, remains the property of the Agency until full payment is received. Upon payment, ownership is transferred to the Client.
  • The Client retains ownership of their website and content, including any modifications or recommendations implemented by the Agency.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business plans, marketing strategies, and technical data.

Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • The Agency may terminate the agreement immediately if the Client breaches these Terms and Conditions, particularly in relation to non-payment.
  • Upon termination, all outstanding payments must be settled, and any ongoing services will cease.

Limitation of Liability

To the fullest extent permitted by law, the Agency shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, business, or data, arising out of the services provided. The Agency’s total liability under this agreement shall not exceed the fees paid by the Client within the last 6 months.

Indemnity

The Client agrees to indemnify and hold the Agency harmless from any claims, losses, damages, liabilities, or expenses arising out of any breach of these Terms and Conditions or as a result of unlawful or improper use of the Client’s website and business.

Amendments

The Agency reserves the right to modify or update these Terms and Conditions at any time, with any changes communicated to the Client. Continued use of the Agency’s services constitutes acceptance of the updated terms.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire Agreement

These Terms and Conditions, along with any proposals, contracts, or documents referenced, constitute the entire agreement between the Agency and the Client.
